Terms of Service

1. The Service

OrdScale is an e-commerce operating system that aggregates data from your connected platforms — Shopify, Razorpay, Meta Ads, and shipping carriers — and presents unified analytics, P&L reporting, fulfilment tracking, and operational alerts. OrdScale is a B2B SaaS tool. We do not sell physical products, fulfil orders on your behalf, or act as a payment gateway. We are a read-and-report layer on top of the systems you already operate.

2. Account and Organisation Setup

Accounts are created and authenticated through Clerk. You must provide accurate, complete information. You are responsible for maintaining the security of your credentials and for all activity under your account.

Each organisation on OrdScale can have multiple team members with role-based access. The account owner is responsible for managing permissions and ensuring team members comply with these Terms.

3. Subscription and Billing

OrdScale offers a free tier and paid plans billed monthly or annually in INR via Razorpay. Prices are exclusive of applicable taxes (GST). By subscribing to a paid plan, you authorise us to charge your payment method on a recurring basis until you cancel.

Annual plan subscribers may request a refund within 7 days of purchase if the Service did not perform as described. Monthly subscribers may cancel at any time; no refunds are issued for partial months. Downgrades take effect at the end of the current billing period.

We reserve the right to change pricing with 30 days' written notice. Continued use after the effective date constitutes acceptance of the new pricing.

4. Integrations and Your Credentials

When you connect Shopify, Razorpay, Meta Ads, or a shipping carrier, you grant OrdScale a limited, revocable licence to access your data on those platforms for the purpose of providing the Service. You represent that you have the right and authority to connect those accounts. You remain responsible for complying with the terms of each integrated platform. You can revoke any integration at any time from Settings — we will stop syncing and delete cached credentials within 48 hours.

5. Your Data

You retain full ownership of all data you submit to or that is synced into OrdScale. We claim no intellectual property rights over your business data. We process it solely to provide the Service. Our Data Processing Agreement (DPA) governs how we handle data that constitutes personal data of your end-customers.

6. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Resell, sublicence, or white-label access to the Service without written authorisation
• Use automated tools to scrape or extract data beyond what the API permits
• Use the Service for any unlawful purpose or in violation of any applicable regulation
• Attempt to gain unauthorised access to any other account, system, or network
• Introduce malware, viruses, or any code designed to disrupt the Service

We may suspend or terminate your account immediately for material violations of this section.

7. Intellectual Property

OrdScale and its licensors own all rights in the platform, including software, UI, documentation, logos, and trademarks. Nothing in these Terms transfers any ownership of OrdScale's intellectual property to you. You may not use our trademarks without prior written consent.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind. We do not warrant that the Service will be error-free, uninterrupted, or that data displayed will be perfectly accurate at all times. OrdScale is a reporting layer — decisions made based on dashboard data are your responsibility.

9. Limitation of Liability

To the fullest extent permitted by law, OrdScale's total liability for any claim arising out of or related to these Terms or the Service shall not exceed the fees you paid to OrdScale in the three (3) months immediately preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, including lost profits or revenue, even if advised of the possibility.

10. Termination

Either party may terminate this agreement with 30 days' written notice. OrdScale may terminate immediately for material breach. Upon termination, your access ceases and your data remains available for export for 30 days, after which it is permanently deleted. Sections 5, 7, 8, 9, and 11 survive termination.

11. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bareilly, Uttar Pradesh, India. You and OrdScale consent to personal jurisdiction in such courts.
